These Terms of Service ("Terms") govern your access to and use of the CloudyVoice website, account portal, and voice services ("Services"). By creating an account or using the Services you agree to these Terms.

1. Eligibility and account registration

1.1 The Services are offered to businesses and to individuals acting in a business capacity. They are not intended for consumers.

1.2 You must be at least 18 years old and legally capable of entering into a binding contract.

1.3 You are responsible for the accuracy of the information you provide at registration and for keeping it current.

1.4 You are responsible for all activity occurring under your account and for maintaining the confidentiality of your credentials, including SIP credentials. Notify us immediately at support@cloudyvoice.com if you believe your credentials have been compromised.

2. Services

2.1 CloudyVoice provides international SIP termination, and may provide DID numbers and VOS server deployment and support where separately agreed.

2.2 Services are provided on a prepaid basis. Calls are permitted only while a positive balance is available.

2.3 Access to outbound routes is subject to traffic review and approval. We may decline to activate, or may suspend, any route or destination.

2.4 We do not guarantee uninterrupted or error-free service. Voice services depend on third-party carriers, internet connectivity, and public networks outside our control.

3. Prepaid balance and billing

3.1 Balances are funded by cryptocurrency payment as described in the account portal. Minimum top-up is $10 USD and maximum is $10,000 USD per invoice.

3.2 Invoices lock a conversion rate for 30 minutes. An invoice not paid within that window is cancelled as expired.

3.3 Balance is credited only after the required number of blockchain confirmations for the relevant network.

3.4 Calls are charged per connected minute at the rate applicable to the destination prefix, subject to the billing increment shown for that route.

3.5 Published rates are indicative source rates and may be revised. Rates applicable to your account are those in effect at the time of the call.

3.6 Overpayments credit only the invoiced USD value and require manual review. Underpayments do not satisfy an invoice automatically.

3.7 Balance is non-transferable between accounts.

4. Acceptable use

4.1 Your use of the Services is subject to the Acceptable Use Policy, which forms part of these Terms.

4.2 You are solely responsible for compliance with all laws applicable to your calls, including in each destination jurisdiction. This includes but is not limited to do-not-call registries, consent requirements, permitted calling hours, abandoned call limits, caller identification accuracy, and call recording consent.

4.3 You warrant that any contact data you use was lawfully obtained and that you hold any consent required to call it.

4.4 We may suspend or terminate Services immediately, without notice, where we reasonably believe traffic is fraudulent, unlawful, or in breach of the Acceptable Use Policy.

5. Fraud and security

5.1 You are responsible for securing your systems against unauthorised use. Charges arising from traffic sent using your credentials are your responsibility, whether or not you authorised that traffic.

5.2 We may, but are not obliged to, monitor for unusual traffic patterns and suspend Services where fraud is suspected.

5.3 Prepaid billing limits exposure to the available balance. We strongly recommend restricting SIP access by IP address and using strong credentials.

6. Suspension and termination

6.1 You may close your account at any time by contacting support.

6.2 We may suspend or terminate for breach of these Terms, for non-compliance with the Acceptable Use Policy, where required by law or by an upstream carrier, or where an account has been inactive for [PERIOD TO BE SET].

6.3 On termination, treatment of any remaining balance is governed by the Refund Policy.

7. Intellectual property

7.1 The website, portal, documentation, and guide library are owned by CloudyVoice or its licensors.

7.2 The guide library is provided free of charge for personal and internal business use. You may quote short extracts with attribution and a link. Systematic reproduction, redistribution, or republication requires our prior written permission.

7.3 You retain ownership of data you upload or transmit.

8. Data protection

8.1 Our handling of personal data is described in the Privacy Policy.

8.2 Where you determine the purposes and means of processing personal data transmitted through the Services, you act as controller and we act as processor. A data processing agreement is available on request and is required before processing personal data subject to the UK GDPR or EU GDPR.

9. Disclaimers

9.1 The Services are provided "as is" and "as available" to the fullest extent permitted by law.

9.2 The guide library is general information only. It is not legal, financial, or professional advice, and no lawyer-client or advisory relationship is created by reading it. Cost figures are estimates at the stated date.

9.3 We do not warrant that the Services are suitable for emergency calling. The Services must not be relied upon to contact emergency services.

10. Limitation of liability

10.1 Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded.

10.2 Subject to 10.1, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, business, goodwill, or data.

10.3 Subject to 10.1, our aggregate liability arising out of or in connection with the Services is limited to the amount you paid to us in the [PERIOD TO BE SET] preceding the event giving rise to the claim.

11. Indemnity

You agree to indemnify CloudyVoice against claims, losses, and costs arising from your breach of these Terms or the Acceptable Use Policy, from traffic sent using your account, or from your failure to comply with laws applicable to your calls.

12. Changes to these Terms

We may amend these Terms. Material changes will be notified by email or through the account portal at least [NOTICE PERIOD TO BE SET] before taking effect. Continued use after that date constitutes acceptance.

13. Governing law
